1. Services Provided

North East Media provides appointment-based marketing services to home service businesses (including roofing companies), which may include but are not limited to:

• Appointment pack fulfillment (delivery of booked appointments to your calendar or designated scheduling system)
• Lead intake, qualification, routing, and scheduling support
• Funnel and survey optimization (as applicable)
• CRM and automation tools (when included with your purchase)
• Automated follow-up systems (SMS/email/call workflows, when enabled)
• Performance tracking and reporting related to appointment delivery

2. Payment & Pricing Model

Appointment Packs (Upfront): We offer appointment packs of 25, 50, and 100 booked appointments, and we can provide larger volumes if requested and agreed in writing.

No Retainers / No Ad Spend Billed by Us: Our current model does not use retainers. You pay upfront for the appointment pack you choose. We do not bill a separate recurring management fee, and we do not bill separate "ad spend" line-items under this offer.

Upfront Charge Per Appointment: The cost of each appointment is charged upfront as part of the pack purchase. Your total price and cost-per-appointment are shown at checkout, on your invoice, or in a written order form.

Underperformance Credit: If we deliver fewer booked appointments than the quantity in your purchased pack within the agreed fulfillment period (as defined in your order form / invoice / written agreement), we will issue a credit of $280 per missed appointment.

• Example: You purchase 50 appointments and we deliver 45 within the agreed period → 5 missed → $1,400 credit.
• Credits are applied as an invoice credit, account credit, or refund method as determined by us and the original payment method, unless otherwise required by law.

Counting Summary (What Counts as a "Booked Appointment"): A "booked appointment" means a scheduled call/inspection/estimate on your calendar (or our tracked scheduling system) with:

• date/time confirmed, and
• valid contact information, and
• within your service area, and
• booked according to your available scheduling windows.

Not counted as delivered appointments (and may be excluded from totals) include: spam/fraud, duplicates within 30 days, wrong/out-of-service numbers, out-of-area contacts, or contacts that never respond to first-touch outreach (where applicable). If an appointment was booked and confirmed, it counts as delivered even if the prospect no-shows, unless your written agreement states otherwise.

Additional Volume / More Than 100: If you want more than 100 appointments, we can create a custom pack size and pricing in writing.

3. Client Responsibilities

To ensure smooth fulfillment and accurate delivery, you agree to:

• Provide accurate and timely business information (service areas, hours, offer details, eligibility filters, etc.)
• Participate in onboarding and provide required access/approvals in a timely manner
• Keep your calendar availability accurate and updated
• Respond to appointments/leads promptly and professionally
• Maintain compliant communications practices (including honoring opt-outs)
• Use all tools, scripts, and data in accordance with applicable marketing and communications laws

4. Intellectual Property

All funnels, ads, landing pages, automations, CRM setups, and proprietary systems created by North East Media are the sole intellectual property of North East Media, unless otherwise stated in writing. You may not copy, resell, distribute, or reuse any content or systems without our written permission.

5. Disclaimers & Limitation of Liability

We do not guarantee business outcomes (revenue, closed deals, profit, conversion rates). Performance may be influenced by factors outside our control, including your market, offer, availability, sales process, speed-to-lead, and lead handling.

To the maximum extent permitted by law, North East Media is not liable for lost profits, missed opportunities, reputational impact, or indirect/incidental/consequential damages.

6. Modifications to Services or Terms

We may modify our services or these Terms at any time. Continued use of our Site or services after changes are made constitutes acceptance of those changes.

7. Governing Law

These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict of law provisions.
